of the Boundary Waters Musky Club, Inc.
A Wisconsin Non-Profit Corporation
Organized Pursuant
To Chapter 181, Wisconsin Statues
Section 1
Name
The name of the Corporation
shall be the Boundary Waters Musky Club, Inc.
Section II
Purposes
-
The primary purposes of the
Corporation shall be (1) to educate the public with respect
to the Muskellunge including preservation of habitat,
stocking programs, the practice of catch and release, (2)
also to promote the preservation and conservation of the
Muskellunge as a natural resource, (3) to engage in any
other activity authorized by Chapter 181 of the Wisconsin
Statutes.

The Corporation shall not be
operated for the primary purpose of carrying on a trade or
business for profit.

The Corporation shall neither
have nor exercise any power, nor shall directly or
indirectly engage in any activity, that would: (1) prevent
it from obtaining exemption for federal income taxation as a
Corporation described in Sec. 501(c) (3) of the Internal
Revenue code, or (2) cause it to lose such exempt status.

No part of the net earnings of
the Corporation shall inure to the benefit, or be
distributable to its members or any trustees, Directors,
Officers, or other private persons, except that the
Corporation shall be authorized and empowered to pay
reasonable compensation for services rendered and make
payments and distributions in furtherance of the purposes
set forth in its Articles of Incorporation and by-laws. No
substantial part of the activities of the Corporation shall
be carrying on of propaganda, or otherwise attempting to
influence legislation, and the Corporation shall not
participate in, or intervene in (including the publishing or
distribution of statements) any political campaign on behalf
of and candidate for public office. Notwithstanding any
other provision of the Articles of Incorporation or By-Laws,
the Corporation shall not carry on any other activities not
permitted to be carried on: (a) by a Corporation exempt from
federal income tax under Sec 501(c) (3) of the Internal
Revenue Code of 1954 or (b) by a Corporation, contributions
to which are deductible under Sec 170(c) (2) of the Internal
Revenue Code of 1954.
Section III
General

Meetings
: Meetings to be held the
3rd Tuesday of the month. time and location will be posted
on website home page.

Election of
Officers : The
election of officers shall be held at the February meeting
of each year.

Dues
: Dues will be $10 for an
annual single membership, $15 for an annual family
membership.

Fiscal Year
: The fiscal year of the
BWMC Musky Club, Inc. shall begin on the 1st day
of January and end on the 31st day of December
each year.

Members
: A member will be
considered anyone in good standing with the BWMC Musky Club,
Inc. with regard to the dues being paid in and for that
particular calendar year. Anyone paying dues after October 1st
of any year will be considered in good standing for the year
immediately following.

Voting
: All members in good
standing will be entitled to one vote on all matters coming
before the membership of the Corporation

Proxies
: There shall be no proxy
votes. All votes shall be cast in person by the members.

Quorum
: A quorum shall consist
of twenty percent (20%) of the owner members listed on the
most recent membership roll. A vote of a simple majority of
the members present shall be an act of the membership.

Outings
: The club will have two
musky fishing outings. The spring outing be held on the
second Saturday in June. The club will purchase the soda for
the spring outing.
Section IV
Duties

General
: Affairs of the
Corporation shall be managed by the members, including the
election of the Officers.

Officers
: The duties of the
corporate Officers shall be those which usually pertain to
their titles in Corporations.
President
: Shall be the principal Officer
of the Corporation and, between meetings of the members, shall
have general supervision of its business and affairs, subject to
the right of the members to designate any specific power, not by
statute, exclusively conferred upon the President.
Vice-President
: Shall perform the duties of the
President in the absence of the President or in the event of
his/her death, inability or refusal to act, in the event for any
reason it shall be impracticable for the President to act
personally.
Secretary
: Shall record of cause to be
recorded minutes of all proceedings to be kept for the records
of the Corporation which he/she shall maintain.
Treasurer
: Shall maintain the Corporation's
bank accounts and financial records. At the expiration of an
officer's term he/she shall promptly deliver to the members all
property and records of the Corporation in his/her possession or
control.
Section V
Amendments
These By-Laws may be amended at
the monthly meetings by a simple majority vote of the members
present, as long as there is a quorum.
Section VI
Dissolution
Upon dissolution of the BWMC Musky
Club, Inc. the members after reserving for or paying all just
bills, dispose of all the assets of the BWMC Musky Club, Inc.,
to like minded organizations that qualify as exempt
organizations under Internal Revenue Code Section 501 (c) (3).
Any assets remaining shall be turned over to the county court of
the county where records are currently kept for disposition.
